1. Acceptance of Terms and Binding Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Strand Health Inc., a Delaware C corporation doing business as Everfur, with its principal place of business at 1002 Dean Street, Suite 101, Brooklyn, NY 11238 ("Company," "we," "us," or "our"). These Terms govern your access to and use of all Company products, services, platforms, applications, websites, APIs, hardware, diagnostic kits, sample collection materials, laboratory services, data analytics, and all related offerings (collectively, the "Services").

The Services include, without limitation: (a) Everfur Health Intelligence, our direct to consumer pet health application; (b) Everfur Clinical Intelligence, our business to business clinical decision support platform for licensed veterinary professionals; (c) the Everfur Fur Metabolomics Test Kit and all associated sample collection, shipping, laboratory analysis, and results delivery services; (d) all mobile applications available through the Apple App Store and Google Play Store; (e) the Everfur website and all subdomains (including but not limited to my.everfur.com, app.everfur.com, api.everfur.com, and clinic.everfur.com); (f) all application programming interfaces ("APIs"); and (g) any future products, features, or services we may offer.

BY CREATING AN ACCOUNT, DOWNLOADING OUR APPLICATION, PURCHASING OR USING A TEST KIT, ACCESSING ANY SERVICE, SUBMITTING ANY DATA, OR CLICKING "I AGREE," YOU REPRESENT AND WARRANT THAT: (I) YOU ARE AT LEAST EIGHTEEN (18) YEARS OF AGE; (II) YOU HAVE THE LEGAL CAPACITY TO ENTER INTO A BINDING AGREEMENT; (III) YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY; (IV) YOU HAVE READ AND AGREE TO OUR PRIVACY POLICY (AVAILABLE AT EVERFUR.COM/PRIVACY); AND (V) YOU HAVE READ AND AGREE TO OUR DATA DELETION POLICY, COOKIE POLICY, AND END USER LICENSE AGREEMENT ("EULA"), EACH OF WHICH IS INCORPORATED HEREIN BY REFERENCE.

If you are using the Services on behalf of an organization, veterinary practice, business entity, or employer, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include both you individually and the organization you represent.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES, DELETE ANY INSTALLED APPLICATIONS, AND DESTROY OR RETURN ANY UNUSED TEST KIT MATERIALS.

2. Description of Services

2.1 Everfur Health Intelligence (Consumer)

Everfur Health Intelligence is a consumer facing pet health informational platform powered by artificial intelligence and machine learning. The Services provide health assessments, symptom analysis, medication information, breed specific health risk profiles, and general pet health guidance for dogs and cats. Features include, but are not limited to: (a) image based skin disease analysis using convolutional neural network classifiers trained on veterinary dermatological datasets; (b) image based eye disease screening using deep learning models for the detection of visual indicators of cataracts, cherry eye, conjunctivitis, corneal ulcers, and glaucoma; (c) audio based cough analysis for the identification of respiratory patterns including kennel cough, reverse sneezing, collapsing trachea, and other respiratory conditions; (d) AI powered health chat providing evidence grounded responses derived from over 50,000 peer reviewed veterinary publications across 47 journals; (e) drug information lookup with species specific dosing parameters, multi drug interaction checking, and breed pharmacogenomic alerts (including MDR1/ABCB1 sensitivity); (f) patient memory functionality that retains breed, age, weight, medications, allergies, past conditions, and prior conversation context to personalize recommendations; (g) Health Intelligence Pro, a premium subscription tier providing citation backed responses with references to specific published studies and clinical guidelines; and (h) integration with the Everfur Fur Metabolomics Test Kit for biomarker based health assessment.

2.2 Everfur Clinical Intelligence (Professional)

Everfur Clinical Intelligence is a clinical decision support platform designed exclusively for licensed veterinary professionals. Features include, but are not limited to: (a) AI assisted differential diagnosis engine that ingests free text or structured SOAP data and outputs ranked differentials with confidence scores weighted by species, breed, age, and clinical presentation; (b) drug dosing and interaction engine covering 500+ veterinary drugs with species and weight adjusted dosing, real time multi drug interaction checking, contraindication flags, and severity tiered alerts; (c) AI clinical scribe for automated clinical note generation; (d) imaging AI for analysis of thoracic radiographs, abdominal radiographs, ultrasound, CT, dermatological images, cytology, and dental imaging; (e) lab interpretation engine; (f) breed risk profiling and preventive care recommendations; (g) clinical outcome tracking; (h) DEA controlled substance compliance tools; (i) clinical literature access and continuing education credit tracking; and (j) telehealth partnership integration. Access to Everfur Clinical Intelligence may be further governed by a separate Master Services Agreement ("MSA") or enterprise license agreement.

2.3 Everfur Fur Metabolomics Test Kit

The Everfur Fur Metabolomics Test Kit ("Test Kit" or "Kit") is a direct to consumer at home sample collection kit that enables pet owners to collect fur samples from their dog or cat for laboratory metabolomics analysis. The Kit and associated services include: (a) a physical sample collection kit containing sample collection bags, identification labels, instructions for use, and a prepaid return shipping envelope; (b) a unique kit registration code that must be activated through the Everfur mobile application or website prior to sample submission; (c) laboratory processing of submitted fur samples using mass spectrometry based metabolomics analysis conducted at a partnered CLIA certified or research grade laboratory facility; (d) bioinformatics analysis of metabolomic profiles using proprietary computational pipelines; (e) generation of a personalized health report delivered through the Everfur mobile application, including metabolite concentration data, biomarker interpretations, health risk indicators, nutritional status markers, and longitudinal tracking when multiple test results are available; and (f) storage and analysis of biological sample data as described in Section 8 (Data Collection, Processing, and Biological Samples).

BY PURCHASING, REGISTERING, OR USING THE TEST KIT, YOU CONSENT TO THE COLLECTION, TRANSPORT, PROCESSING, ANALYSIS, STORAGE, AND USE OF BIOLOGICAL SAMPLES AND DERIVED DATA AS DESCRIBED IN THESE TERMS AND OUR PRIVACY POLICY. YOU REPRESENT THAT YOU ARE THE LEGAL OWNER OF THE ANIMAL FROM WHICH THE SAMPLE IS COLLECTED OR THAT YOU HAVE THE LEGAL AUTHORITY TO CONSENT TO SAMPLE COLLECTION ON BEHALF OF THE OWNER.

2.4 Nature of Services

THE SERVICES, INCLUDING ALL AI GENERATED OUTPUTS, IMAGE ANALYSES, AUDIO ANALYSES, DRUG INFORMATION, DIFFERENTIAL DIAGNOSES, METABOLOMICS REPORTS, HEALTH ASSESSMENTS, AND RECOMMENDATIONS, ARE INFORMATIONAL AND EDUCATIONAL IN NATURE. THE SERVICES DO NOT CONSTITUTE VETERINARY MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE SERVICES DO NOT ESTABLISH A VETERINARIAN CLIENT PATIENT RELATIONSHIP ("VCPR"). USE OF THE SERVICES IS NOT A SUBSTITUTE FOR PROFESSIONAL VETERINARY CARE. SEE SECTION 17 (VETERINARY AND DIAGNOSTIC DISCLAIMERS) FOR ADDITIONAL CRITICAL INFORMATION.

3. Account Registration, Security, and Authentication

3.1 Account Creation

To access certain features of the Services, you must create an account. You agree to: (a) provide accurate, current, and complete information during the registration process, including your full legal name, email address, and any other requested information; (b) update such information promptly to keep it accurate, current, and complete; (c) maintain the confidentiality of your account credentials, including passwords, API keys, and authentication tokens; and (d) accept responsibility for all activities that occur under your account, whether or not authorized by you.

3.2 Pet Profile Data

You may create one or more pet profiles within your account. By creating a pet profile, you agree to provide accurate information including, but not limited to: species, breed, date of birth or approximate age, weight, sex, spay/neuter status, known medical conditions, current medications, allergies, vaccination history, and any other health relevant information requested by the Services. You represent and warrant that all information provided in pet profiles is accurate to the best of your knowledge and that you are the legal owner of the animal or have legal authority to provide such information.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) use a strong, unique password; (b) not share your credentials with any third party; (c) not use another person's account without authorization; and (d) notify us immediately at legal@everfur.com of any unauthorized use of your account, any security breach, or any other compromise of your account. We are not liable for any loss, damage, or liability arising from your failure to protect your account credentials or from unauthorized access to your account.

3.4 Account Suspension and Termination

(a) Termination by User. You may delete your account at any time through the in app account settings or by contacting us at legal@everfur.com. Upon account deletion, we will process the deletion of your personal information in accordance with our Privacy Policy and Data Deletion Policy, subject to our legal retention obligations and the biological sample retention terms in Section 8.

(b) Termination by Company. We reserve the right to suspend, restrict, or terminate your account and access to the Services at any time, with or without cause, and with or without notice, in our sole and absolute discretion. Grounds for termination include, but are not limited to: violation of these Terms; fraudulent, abusive, or illegal activity; misuse of the Services; attempted reverse engineering of any AI models or proprietary systems; submission of deliberately false or misleading data; harassment of other users or Company personnel; creation of multiple accounts to circumvent usage limits; or any conduct that we determine, in our sole discretion, is harmful to other users, third parties, the Services, or the Company.

4. License Grant and Restrictions

4.1 Limited License

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non exclusive, non transferable, non sublicensable, revocable license to: (a) download, install, and use the Everfur mobile application on a device that you own or control; (b) access and use Everfur Health Intelligence solely for your personal, non commercial use in connection with the health management of animals you own or for which you are a legally authorized caretaker; and (c) access and use Everfur Clinical Intelligence solely for your internal business purposes as a licensed veterinary professional, subject to any additional terms in your MSA or enterprise license agreement, as applicable.

4.2 Restrictions

You agree not to, and you will not permit any third party to:

  • (a) Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services, any underlying technology, AI models, algorithms, neural network architectures, knowledge graphs, training data, proprietary databases, or any other component of the Services;
  • (b) License, sublicense, sell, resell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Services, any AI generated outputs, any metabolomics data or reports, or any content therein;
  • (c) Use the Services, any outputs, data, or content to build, train, validate, fine tune, distill, or improve any artificial intelligence, machine learning, large language model, computer vision model, or natural language processing system, whether your own or any third party's;
  • (d) Use the Services to build a competitive product, service, or dataset, or to benchmark the Services against a competing product or service without our prior written consent;
  • (e) Use any automated means, including robots, spiders, scrapers, browser automation tools, data mining tools, or similar technologies to access, download, index, or collect data from the Services;
  • (f) Interfere with, disrupt, degrade, or impair the integrity, performance, security, or availability of the Services, or attempt to gain unauthorized access to any systems, networks, servers, databases, or infrastructure connected to the Services;
  • (g) Remove, alter, obscure, or tamper with any proprietary notices, labels, watermarks, digital rights management mechanisms, or marks on or within the Services;
  • (h) Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law, regulation, or professional ethical standard;
  • (i) Use the Services to generate, store, process, or transmit any content that is defamatory, obscene, fraudulent, infringing, threatening, harassing, or otherwise objectionable;
  • (j) Impersonate any person, entity, veterinary professional, or falsely state or otherwise misrepresent your affiliation, credentials, or professional licensure;
  • (k) Use the AI generated outputs of the Services as the sole basis for euthanasia decisions, controlled substance prescribing without independent clinical verification, surgical decisions, anesthesia protocols, or any decision with irreversible consequences to an animal's life or health;
  • (l) Submit samples from species other than domestic dogs (Canis lupus familiaris) or domestic cats (Felis catus) for metabolomics testing, or submit samples from animals you do not own or for which you lack legal authority;
  • (m) Attempt to re identify, de anonymize, or reverse engineer the identity of any animal, individual, or practice from aggregated or anonymized data sets made available through or derived from the Services;
  • (n) Use the Services in any manner that could create liability for the Company, or that could cause the Company to lose (in whole or in part) the services of its internet service providers, cloud hosting providers, laboratory partners, content licensors, or other technology or data partners;
  • (o) Access the Services from any jurisdiction where the Services are prohibited by law or regulation; or
  • (p) Encourage, assist, or enable any third party to do any of the foregoing.

5. Intellectual Property Rights

5.1 Company Ownership

All right, title, and interest in and to the Services, including without limitation all software, source code, object code, AI models, neural network architectures, model weights, training pipelines, knowledge graphs, ontologies (including SNOMED CT Veterinary Extension mappings, RxNorm integrations, and ATCvet classifications), databases, data compilations, algorithms, natural language processing systems (including but not limited to GatorTron, GLiNER, SapBERT, and FAISS based retrieval systems), computer vision models, metabolomics analysis pipelines, bioinformatics tools, text, graphics, logos, trademarks, trade names, service marks, trade dress, user interfaces, visual interfaces, interaction designs, photographs, audio, video, content, documentation, and all other elements of the Services (collectively, "Company Materials"), are and shall remain the exclusive property of Strand Health Inc. and its licensors. The Company Materials are protected by copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws of the United States and international jurisdictions.

5.2 Licensed Content

Certain clinical reference content, drug information, formulary data, pharmacological databases, published literature, continuing education materials, and other content displayed within the Services are used under license from third party publishers, content providers, and academic institutions (collectively, "Licensed Content"). Licensed Content is the property of the respective licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, publicly display, publicly perform, create derivative works from, or otherwise exploit Licensed Content without the express written permission of the applicable licensor. Any unauthorized use of Licensed Content may subject you to civil and criminal liability.

5.3 Patent Rights

Certain aspects of the Services, including but not limited to methods of fur based metabolomics analysis for animal health assessment, AI driven clinical decision support architectures, out of distribution detection systems for medical imaging, and multi modal veterinary health intelligence systems, may be covered by one or more pending or issued patents in the United States and other jurisdictions. Nothing in these Terms grants you any license under any patent, patent application, or patent claim owned or controlled by the Company.

5.4 User Content

You retain ownership of content you submit to the Services ("User Content"), including but not limited to pet photographs, audio recordings (such as cough recordings), clinical notes, health records, laboratory results, vaccination records, and other materials. By submitting User Content, you grant us a worldwide, non exclusive, royalty free, fully paid, sublicensable (through multiple tiers), and transferable license to use, reproduce, modify, adapt, process, analyze, publish, display, distribute, and create derivative works from such User Content solely for the purposes of: (a) operating, maintaining, improving, and providing the Services; (b) developing and improving our AI models, algorithms, and analytical capabilities, subject to your separate opt in consent as described in Section 8; (c) generating aggregated, de identified, and anonymized datasets and analytics; (d) complying with applicable laws and regulations; and (e) enforcing these Terms. This license survives termination of your account to the extent necessary to complete any pending operations and to maintain the integrity of aggregated and anonymized datasets.

5.5 Feedback

If you provide us with any suggestions, ideas, enhancement requests, feature requests, recommendations, bug reports, or other feedback regarding the Services ("Feedback"), you hereby irrevocably assign to us all right, title, and interest in and to such Feedback, including all intellectual property rights therein. We are free to use, implement, disclose, reproduce, license, distribute, and commercialize Feedback in any manner and for any purpose, without obligation, attribution, or compensation to you.

5.6 Trademarks

"Everfur," "Strand Health," "Everfur Health Intelligence," "Everfur Clinical Intelligence," "Health Intelligence Pro," the Everfur logo, and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of Strand Health Inc. or its affiliates. You may not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

6. Fees, Payment, Subscriptions, and Kit Purchases

6.1 Subscription Fees

Certain features of the Services require payment of subscription fees ("Subscription Fees"). All fees are stated in U.S. dollars and are non refundable except as expressly provided herein or as required by applicable law. Current pricing is available within the application and on our website. We reserve the right to change our fees at any time upon thirty (30) days' prior notice to you. Your continued use of the Services after a fee change constitutes your acceptance of the new fees.

6.2 Auto Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) unless you cancel your subscription before the renewal date. You authorize us and/or the applicable app store to charge your payment method on a recurring basis. You may cancel your subscription at any time through the applicable app store (Apple App Store or Google Play Store) or through your account settings. Cancellation takes effect at the end of the current billing period; you will not receive a refund for any unused portion of the current period.

6.3 Test Kit Purchases

Test Kit purchases are separate from subscription fees. Test Kit pricing includes the physical kit, shipping to you, return shipping of the sample, laboratory analysis, bioinformatics processing, and report delivery. Test Kits are non refundable once the kit has been registered or once a sample has been submitted for processing. Unregistered and unopened Test Kits may be returned within thirty (30) days of purchase for a full refund, less shipping costs. We reserve the right to modify Test Kit pricing at any time; changes will not affect previously completed purchases.

6.4 Taxes

All fees are exclusive of any applicable sales, use, value added, goods and services, withholding, or other taxes, duties, or assessments. You are responsible for the payment of all such taxes (other than taxes on our income) in connection with these Terms and your use of the Services.

6.5 Refund Policy

Refund requests for in app purchases are handled in accordance with the refund policies of the applicable app store through which you purchased the subscription. We do not process refunds directly for purchases made through the Apple App Store or Google Play Store. For direct purchases (including Test Kit purchases and enterprise subscriptions), refund requests must be submitted to billing@everfur.com within thirty (30) days of the charge. Refunds are at our sole discretion, except as required by applicable law.

7. Permissions, Device Access, and Location Services

7.1 Device Permissions

To provide the full functionality of the Services, the Everfur mobile application may request access to the following device features and data. By granting these permissions, you consent to the collection and processing of the corresponding data as described in these Terms and our Privacy Policy:

  • (a) Camera. Required for capturing photographs for skin disease analysis, eye disease screening, wound assessment, and other image based health features. Images captured through the Services may be analyzed by our AI models and stored in accordance with our Privacy Policy.
  • (b) Microphone. Required for recording audio for cough analysis and other audio based health assessment features. Audio recordings are processed by our AI models and may be stored for service improvement purposes.
  • (c) Photo Library / Gallery. Required to allow you to select existing photographs from your device for analysis, including photographs of your pet, veterinary records, lab results, medication labels, vaccination certificates, and other health related documents. When you grant photo library access, the application may access metadata associated with selected photographs, including geolocation data, timestamps, and device information embedded in the image files.
  • (d) Location Services (GPS, Wi Fi, Cellular). Used to: (i) provide location relevant health alerts, including disease outbreak notifications, tick and parasite risk assessments, seasonal allergy information, and environmental hazard warnings specific to your geographic area; (ii) locate nearby veterinary clinics, emergency animal hospitals, and pet pharmacies; (iii) facilitate accurate sample tracking for Test Kit shipments; (iv) enable geographically relevant metabolomics baseline comparisons; and (v) improve the accuracy of health risk models that incorporate environmental and geographic factors. You may disable location services at any time through your device settings, but certain location dependent features will not function without this permission.
  • (e) Push Notifications. Used to deliver health alerts, medication reminders, appointment reminders, Test Kit status updates, sample processing notifications, report availability notifications, subscription and billing notifications, and other service related communications.
  • (f) Bluetooth. May be used for integration with compatible veterinary diagnostic devices, wearable pet health monitors, and other Bluetooth enabled peripherals.
  • (g) Storage / Files. Required to store cached data, downloaded reports, and offline content for functionality when internet connectivity is limited.
  • (h) Network Access. Required for all online functionality, including AI model inference, data synchronization, real time drug interaction checking, and communication with our servers.
  • (i) Biometric Authentication. If supported by your device, you may enable biometric authentication (Face ID, Touch ID, fingerprint) for secure access to your account and sensitive health data.

7.2 Background Data Collection

Certain features of the Services may collect data in the background, including location data for geographic health risk monitoring and push notification delivery. You will be informed of background data collection practices and may control them through your device settings and in app privacy preferences.

7.3 Withdrawal of Permissions

You may revoke any device permission at any time through your device operating system settings. Revocation of certain permissions may limit or disable specific features of the Services. Revocation of permissions does not affect the lawfulness of data collection that occurred prior to revocation.

8. Data Collection, Processing, and Biological Samples

8.1 Categories of Data Collected

We collect and process the following categories of data in connection with the Services. Detailed information about data handling, storage, security, and your rights is provided in our Privacy Policy.

  • (a) Account and Identity Data. Full name, email address, phone number, mailing address (for Kit shipments), account credentials, payment information, and device identifiers.
  • (b) Pet Health Data. Species, breed, age, weight, sex, spay/neuter status, medical history, current and past medications, allergies, known conditions, vaccination records, surgical history, dietary information, behavioral observations, and any other health information you provide.
  • (c) Photographic and Visual Data. Photographs of your pet submitted for analysis, including images of skin conditions, eyes, wounds, teeth, ears, body condition, and any other visual health assessments. This includes associated image metadata (EXIF data), which may contain geolocation, timestamps, camera model, and device information.
  • (d) Audio Data. Recordings of coughs, breathing patterns, vocalizations, and other audio submitted for analysis, along with associated metadata.
  • (e) Veterinary Records and Documents. Any veterinary records, lab results (including blood work such as complete blood counts, chemistry panels, thyroid panels, urinalysis results, and other diagnostic lab reports), imaging reports, pathology reports, medication histories, treatment plans, discharge summaries, and other medical documents you upload or input into the Services.
  • (f) Biological Sample Data. All data derived from the processing and analysis of fur samples submitted through the Test Kit, including raw metabolomics data, processed metabolite concentration profiles, biomarker measurements, quality control metrics, and all derivative analyses and interpretations.
  • (g) Conversational Data. All text inputs, queries, responses, chat histories, and interaction logs generated through your use of the AI health chat and clinical decision support features.
  • (h) Usage and Behavioral Data. App usage patterns, feature usage frequency, session duration, navigation paths, search queries, interaction events, crash reports, performance data, and other analytics data.
  • (i) Device and Technical Data. Device type, operating system, browser type, IP address, unique device identifiers, advertising identifiers, network information, language preferences, time zone, and screen resolution.
  • (j) Location Data. Precise and approximate geographic location data as described in Section 7.1(d).
  • (k) Transaction Data. Purchase history, subscription details, payment method information (processed through third party payment processors), billing address, and refund history.

8.2 Biological Sample Collection, Processing, and Retention

By submitting a biological sample (fur) through the Test Kit, you acknowledge and agree to the following:

  • (a) Sample Processing. Your sample will be transported to a partnered laboratory facility where it will undergo mass spectrometry based metabolomics analysis. The laboratory may retain a portion of your sample for quality assurance, re analysis, and method validation purposes.
  • (b) Sample Retention. Physical fur samples may be retained by the laboratory for up to twenty four (24) months following initial analysis for purposes of re testing, quality control, assay validation, and research, unless you request earlier destruction by contacting privacy@everfur.com.
  • (c) Derived Data. All metabolomics data, biomarker profiles, and analytical results derived from your sample ("Derived Data") will be stored indefinitely in our secure databases and may be used as described in these Terms and our Privacy Policy. Derived Data may persist in anonymized and aggregated form even after account deletion.
  • (d) Research Use. With your separate, explicit opt in consent (provided through a distinct consent mechanism within the application), your sample data and Derived Data may be used for research purposes, including the development and validation of new biomarkers, health risk algorithms, disease detection models, and peer reviewed publications. Research use data will be de identified prior to use. You may withdraw research consent at any time, but withdrawal will not affect data already incorporated into published research or finalized datasets.
  • (e) No Return of Samples. Due to the destructive nature of metabolomics analysis and laboratory safety protocols, physical fur samples cannot be returned to you after submission.

8.3 Health Records and Blood Work Data

When you upload, input, or otherwise provide veterinary health records, blood work results (including but not limited to complete blood counts, serum chemistry panels, electrolyte panels, coagulation profiles, endocrine panels, urinalysis, fecal analysis, cytology reports, histopathology reports, and any other diagnostic laboratory results), imaging reports, or other medical documents through the Services, you grant us the license described in Section 5.4 and consent to the following: (a) such records will be processed by our AI systems to provide personalized health assessments, trend analysis, anomaly detection, and recommendations within the Services; (b) such records may be combined with other data (including metabolomics Derived Data, photographic data, and conversational data) to provide a comprehensive health profile for your pet; (c) de identified and aggregated data derived from such records may be used to improve our AI models, develop new features, conduct research (with your separate consent), and generate population level health insights; and (d) you are solely responsible for the accuracy and completeness of any health records you provide and for ensuring that you have the legal right to share such records through the Services.

8.4 Data Security

We implement commercially reasonable administrative, technical, and physical safeguards designed to protect your data, including encryption in transit (TLS 1.2 or higher) and at rest (AES 256), access controls, audit logging, and regular security assessments. We are pursuing SOC 2 Type II compliance through our compliance partners. However, no method of transmission over the internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security. In the event of a data breach affecting your personal information, we will notify you and relevant authorities in accordance with applicable law.

9. AI and Machine Learning Specific Terms

9.1 AI Output Disclaimers

THE SERVICES UTILIZE ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING MODELS THAT GENERATE OUTPUTS INCLUDING, BUT NOT LIMITED TO, TEXT BASED HEALTH ASSESSMENTS, IMAGE ANALYSIS RESULTS, AUDIO ANALYSIS RESULTS, DIFFERENTIAL DIAGNOSES, DRUG DOSING RECOMMENDATIONS, METABOLOMICS INTERPRETATIONS, AND HEALTH RISK SCORES (COLLECTIVELY, "AI OUTPUTS"). YOU ACKNOWLEDGE AND AGREE THAT:

  • (a) AI Outputs are probabilistic in nature and may contain errors, inaccuracies, omissions, or hallucinations;
  • (b) AI Outputs are generated by statistical models and do not reflect the clinical judgment of a licensed veterinarian;
  • (c) AI Outputs should never be used as the sole basis for any medical decision, and all AI Outputs should be verified by a qualified veterinary professional before being acted upon;
  • (d) The accuracy, completeness, and reliability of AI Outputs may vary based on the quality, completeness, and accuracy of input data provided by the User;
  • (e) AI models are trained on historical data and may not reflect the most current medical knowledge, drug approvals, or clinical guidelines;
  • (f) Image and audio analysis results are screening tools only and are not diagnostic. They do not replace professional veterinary examination, diagnostic imaging, or laboratory testing; and
  • (g) The Company does not guarantee any particular outcome, accuracy rate, sensitivity, specificity, or predictive value for any AI Output.

9.2 Citation and Evidence Grounding

Certain AI Outputs within the Services, particularly those available through Health Intelligence Pro and Everfur Clinical Intelligence, include citations to published veterinary literature, clinical guidelines, and other reference materials. You acknowledge that: (a) citations are generated by AI systems and may contain errors in attribution, reference formatting, or source identification; (b) cited sources should be independently verified before reliance; (c) the inclusion of citations does not transform AI Outputs into professional veterinary advice; and (d) the availability and accuracy of citation features may vary and are provided on an "as is" basis.

9.3 Image Analysis Limitations

The image based analysis features of the Services (including skin disease analysis, eye disease screening, and any future imaging AI capabilities) are subject to the following limitations: (a) analysis accuracy is dependent on image quality, lighting conditions, camera resolution, focus, and the portion of the anatomy captured; (b) the models have been trained on specific datasets and may perform differently on breeds, conditions, or presentations not well represented in training data; (c) the Services include out of distribution detection mechanisms that may flag images as unsuitable for analysis, in which case no result or a low confidence result will be provided; (d) image analysis is a screening tool and is not a substitute for professional veterinary dermatological examination, ophthalmological examination, or diagnostic imaging; and (e) false positives and false negatives are inherent to any AI based image analysis system.

9.4 No Diagnostic Claims

THE SERVICES, INCLUDING ALL AI MODELS, ALGORITHMS, AND OUTPUTS, ARE NOT MEDICAL DEVICES AND HAVE NOT BEEN CLEARED OR APPROVED BY THE U.S. FOOD AND DRUG ADMINISTRATION ("FDA"), THE U.S. DEPARTMENT OF AGRICULTURE ("USDA"), OR ANY OTHER REGULATORY BODY FOR USE AS DIAGNOSTIC TOOLS. THE SERVICES DO NOT DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE OR MEDICAL CONDITION IN ANY ANIMAL. ALL REFERENCES TO "SCREENING," "ANALYSIS," "ASSESSMENT," OR "DETECTION" WITHIN THE SERVICES REFER TO INFORMATIONAL PATTERN RECOGNITION AND DO NOT CONSTITUTE CLINICAL DIAGNOSIS.

10. Privacy and Data Processing

Your privacy is important to us. Our Privacy Policy, available at everfur.com/privacy, describes in detail how we collect, use, process, store, share, and protect your personal information and data. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy. Key aspects of our data processing practices relevant to these Terms include: (a) all personal data is processed in accordance with applicable data protection laws, including the California Consumer Privacy Act ("CCPA"), as amended by the California Privacy Rights Act ("CPRA"), the Virginia Consumer Data Protection Act ("VCDPA"), and other applicable U.S. state privacy laws; (b) we do not sell your personal information as defined under the CCPA/CPRA; (c) you have the right to request access to, correction of, deletion of, and portability of your personal data, subject to certain exceptions; (d) we may share data with service providers, laboratory partners, cloud hosting providers, analytics providers, and other third parties as described in our Privacy Policy; (e) de identified and aggregated data may be used for research, product development, and commercial purposes without restriction; and (f) we comply with the Children's Online Privacy Protection Act ("COPPA") and do not knowingly collect personal information from children under the age of thirteen (13).

11. Third Party Services and Integrations

The Services may integrate with, interface with, or contain links to third party websites, services, platforms, or content that are not owned or controlled by us, including but not limited to: (a) Apple App Store and Google Play Store; (b) payment processors (such as Stripe); (c) cloud infrastructure providers (such as Microsoft Azure); (d) veterinary practice management systems (such as eVetPractice, Cornerstone, Avimark, and Shepherd); (e) electronic health record systems; (f) laboratory information management systems; (g) analytics and error tracking services (such as Sentry); and (h) mapping and geolocation services.

We do not endorse, warrant, or assume any responsibility for any third party services, content, products, or practices. Your use of third party services is at your own risk and subject to the terms and conditions and privacy policies of those third parties. Any data shared with third party services is governed by the applicable third party's privacy policy, and we are not responsible for the data practices of any third party.

12. Availability, Modifications, and Discontinuation

We reserve the right to modify, update, suspend, or discontinue the Services (or any features, functionalities, or content thereof) at any time, with or without notice, in our sole discretion. This includes the right to: (a) modify AI models, algorithms, or analytical approaches; (b) add, change, or remove features; (c) change pricing or subscription tiers; (d) discontinue the Test Kit or any associated laboratory services; (e) modify the frequency, format, or content of metabolomics reports; (f) change or discontinue integrations with third party services; and (g) implement usage limits, rate limits, or other access controls.

We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuation of the Services. We do not guarantee that the Services will be available at all times or that they will be uninterrupted, timely, secure, or error free.

13. Indemnification

You agree to indemnify, defend, and hold harmless Strand Health Inc., its officers, directors, employees, agents, contractors, licensors, content providers, laboratory partners, academic collaborators, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or related to:

  • (a) Your use of or inability to use the Services, including the Test Kit and any metabolomics results;
  • (b) Your violation of these Terms or any applicable law, regulation, or third party right;
  • (c) Any User Content you submit, upload, or transmit through the Services;
  • (d) Any clinical, medical, or health decisions made based on information, AI Outputs, or data obtained through the Services;
  • (e) Any biological samples you submit through the Test Kit, including any consequences arising from improper sample collection, mislabeling, or submission of samples from animals you do not own or lack authority over;
  • (f) Your misrepresentation of your identity, professional credentials, or authority;
  • (g) Any harm to an animal resulting from your reliance on the Services without consulting a licensed veterinarian; and
  • (h) Any third party claims arising from your use of the Services.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRAND HEALTH INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, CONTENT PROVIDERS, LABORATORY PARTNERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, BIOLOGICAL SAMPLES, ANIMAL HEALTH, ANIMAL LIFE, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE OR TANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES;
  • (B) ANY AI OUTPUTS, HEALTH ASSESSMENTS, METABOLOMICS REPORTS, DRUG INFORMATION, DIFFERENTIAL DIAGNOSES, IMAGE ANALYSES, AUDIO ANALYSES, OR ANY OTHER INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICES;
  • (C) ANY ERRORS, INACCURACIES, OMISSIONS, OR HALLUCINATIONS IN AI OUTPUTS;
  • (D) ANY DECISIONS OR ACTIONS TAKEN BASED ON INFORMATION OBTAINED THROUGH THE SERVICES;
  • (E) LOST, DAMAGED, CONTAMINATED, OR DELAYED BIOLOGICAL SAMPLES;
  • (F) LABORATORY ERRORS, EQUIPMENT MALFUNCTIONS, OR DATA PROCESSING FAILURES;
  • (G) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
  • (H) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES; OR
  • (I) ANY OTHER MATTER RELATED TO THE SERVICES,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THESE LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ANY REMEDY PROVIDED UNDER THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

15. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL CONTENT, AI OUTPUTS, METABOLOMICS REPORTS, FEATURES, FUNCTIONALITY, INFORMATION, AND MATERIALS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRAND HEALTH INC. AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT;
  • (B) WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • (C) WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR FREE, OR VIRUS FREE;
  • (D) WARRANTIES THAT ANY RESULTS, DATA, AI OUTPUTS, METABOLOMICS REPORTS, OR INFORMATION OBTAINED FROM THE SERVICES WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT;
  • (E) WARRANTIES THAT ANY ERRORS IN THE SERVICES WILL BE CORRECTED;
  • (F) WARRANTIES THAT BIOLOGICAL SAMPLES WILL NOT BE LOST, DAMAGED, OR CONTAMINATED IN TRANSIT OR DURING LABORATORY PROCESSING;
  • (G) WARRANTIES REGARDING THE ACCURACY, SENSITIVITY, SPECIFICITY, POSITIVE PREDICTIVE VALUE, OR NEGATIVE PREDICTIVE VALUE OF ANY AI MODEL, ALGORITHM, OR ANALYTICAL TOOL WITHIN THE SERVICES;
  • (H) WARRANTIES THAT THE SERVICES WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE, SOFTWARE, OPERATING SYSTEM, OR DEVICE; AND
  • (I) WARRANTIES THAT THE TEST KIT, LABORATORY ANALYSIS, OR METABOLOMICS REPORTS WILL DETECT, IDENTIFY, OR PREDICT ANY SPECIFIC HEALTH CONDITION, DISEASE, DEFICIENCY, OR RISK.

ANY INFORMATION OR ADVICE OBTAINED THROUGH THE SERVICES SHALL NOT CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

16. Dispute Resolution and Arbitration

16.1 Governing Law

These Terms and any disputes arising out of or related to these Terms, the Services, or the relationship between you and the Company shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of laws principles.

16.2 Mandatory Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Services, the Test Kit, any AI Outputs, any metabolomics data or reports, or the relationship between you and the Company, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined exclusively by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures and, where applicable, the JAMS Consumer Arbitration Minimum Standards. The arbitration shall be conducted by a single arbitrator in New York, New York. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

The arbitrator shall have the authority to award any remedy that would be available in a court of law, provided that the arbitrator may not award relief to any person or entity other than you or the Company. The arbitrator's decision shall be final and binding, and the arbitrator's award may be confirmed and enforced in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MULTI DISTRICT, OR REPRESENTATIVE ACTION OR PROCEEDING. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • (A) NO ARBITRATION OR COURT PROCEEDING SHALL BE JOINED WITH ANY OTHER ARBITRATION OR PROCEEDING;
  • (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES;
  • (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS;
  • (D) THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE, CLASS, OR CONSOLIDATED PROCEEDING; AND
  • (E) IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID, AND THE DISPUTE SHALL BE DECIDED BY A COURT OF COMPETENT JURISDICTION WITHIN THE STATE OF NEW YORK.

16.4 Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY AND ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR THE RELATIONSHIP BETWEEN YOU AND THE COMPANY.

16.5 Time Limitation on Claims

You agree that any claim arising out of or related to these Terms or the Services must be filed within one (1) year after such claim arose; otherwise, your claim is permanently barred. This limitation applies regardless of whether you knew or should have known of the claim.

16.6 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, trade secrets, or confidential information. Additionally, claims that may not be subject to pre dispute arbitration agreements under applicable law are excluded from this arbitration provision.

16.7 Opt Out Right

You may opt out of this arbitration and class action waiver provision by sending written notice to legal@everfur.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, account email address, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, neither party will be required to arbitrate and all disputes will be resolved in court as specified in Section 16.1. Opting out will not affect any other provision of these Terms.

17. Veterinary and Diagnostic Disclaimers

THIS SECTION CONTAINS CRITICAL DISCLAIMERS. PLEASE READ IT CAREFULLY.

17.1 Not Veterinary Advice

THE SERVICES ARE NOT INTENDED TO REPLACE PROFESSIONAL VETERINARY CARE. ALL INFORMATION, CONTENT, AI OUTPUTS, METABOLOMICS REPORTS, DRUG INFORMATION, DIFFERENTIAL DIAGNOSES, IMAGE ANALYSES, AUDIO ANALYSES, AND HEALTH RECOMMENDATIONS PROVIDED THROUGH THE SERVICES ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE VETERINARY MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

17.2 No VCPR

USE OF THE SERVICES DOES NOT CREATE A VETERINARIAN CLIENT PATIENT RELATIONSHIP ("VCPR") BETWEEN YOU AND STRAND HEALTH INC., ITS EMPLOYEES, CONTRACTORS, ADVISORS, OR AFFILIATES. STRAND HEALTH INC. IS A TECHNOLOGY COMPANY, NOT A VETERINARY PRACTICE. WE DO NOT EMPLOY OR CONTRACT WITH VETERINARIANS FOR THE PURPOSE OF PROVIDING CLINICAL CARE THROUGH THE SERVICES.

17.3 Not a Diagnostic Tool

THE SERVICES, INCLUDING ALL AI MODELS, IMAGE ANALYSIS FEATURES, AUDIO ANALYSIS FEATURES, AND METABOLOMICS ANALYSIS CAPABILITIES, ARE NOT DIAGNOSTIC MEDICAL DEVICES. THEY HAVE NOT BEEN CLEARED, APPROVED, OR AUTHORIZED BY THE U.S. FOOD AND DRUG ADMINISTRATION, THE U.S. DEPARTMENT OF AGRICULTURE, OR ANY STATE OR INTERNATIONAL REGULATORY BODY FOR USE AS DIAGNOSTIC TOOLS. THE TERMS "SCREENING," "ANALYSIS," "ASSESSMENT," "CHECK," "SCAN," AND SIMILAR LANGUAGE USED IN THE SERVICES REFER TO INFORMATIONAL PATTERN RECOGNITION AND STATISTICAL INFERENCE, NOT CLINICAL DIAGNOSIS.

17.4 Image and Visual AI Disclaimer

THE IMAGE BASED FEATURES OF THE SERVICES, INCLUDING SKIN CHECK, EYE SCAN, AND ANY FUTURE IMAGING AI CAPABILITIES, USE MACHINE LEARNING MODELS TO IDENTIFY VISUAL PATTERNS IN PHOTOGRAPHS. THESE FEATURES: (A) ARE NOT A SUBSTITUTE FOR PROFESSIONAL VETERINARY DERMATOLOGICAL, OPHTHALMOLOGICAL, OR RADIOLOGICAL EXAMINATION; (B) MAY PRODUCE FALSE POSITIVE OR FALSE NEGATIVE RESULTS; (C) ARE LIMITED BY IMAGE QUALITY, LIGHTING, ANGLE, AND THE PORTION OF THE ANATOMY CAPTURED; (D) MAY NOT DETECT CONDITIONS NOT REPRESENTED IN TRAINING DATA; (E) SHOULD NOT BE RELIED UPON FOR TIME SENSITIVE OR EMERGENCY MEDICAL DECISIONS; AND (F) ARE INFORMATIONAL SCREENING AIDS, NOT DIAGNOSTIC INSTRUMENTS.

17.5 Metabolomics Test Kit Disclaimer

YOU ARE SOLELY RESPONSIBLE FOR ALL CLINICAL DECISIONS MADE IN THE CARE OF YOUR PATIENTS. You agree not to export, re export, or transfer the Services, any component thereof, or any technical data received from us, directly or indirectly, to any destination, entity, or person prohibited by U.S. law, including countries subject to U.S. trade sanctions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has imposed an embargo.

19. U.S. Government End Users

If you are a U.S. Government end user, the Services are deemed to be "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. Section 12.212 and 48 C.F.R. Section 227.7202, as applicable. Consistent with these provisions, the Services are licensed to U.S. Government end users only as commercial items and with only those rights as are granted to all other end users pursuant to these Terms.

20. Acceptable Use Policy

In addition to the restrictions set forth in Section 4.2, you agree that you will not use the Services to:

  • (a) Upload, transmit, or distribute any content that contains viruses, worms, Trojan horses, ransomware, spyware, adware, or any other malicious code or harmful software;
  • (b) Conduct any systematic or automated data collection activities (including scraping, data mining, or data extraction) on or in relation to the Services without our express written consent;
  • (c) Transmit unsolicited promotional or advertising material, spam, chain letters, or pyramid schemes through the Services;
  • (d) Attempt to probe, scan, or test the vulnerability of the Services or any related system or network, or attempt to breach any security or authentication measures;
  • (e) Use the Services in any manner that could overburden, impair, or disable any Company infrastructure;
  • (f) Use the Services to stalk, harass, threaten, or intimidate any person or entity;
  • (g) Forge headers or manipulate identifiers to disguise the origin of any content transmitted through the Services;
  • (h) Use the Services in connection with any animal fighting, abuse, neglect, or cruelty;
  • (i) Submit deliberately false, misleading, or fraudulent data through the Services; or
  • (j) Facilitate or encourage any third party to do any of the foregoing.

21. Electronic Communications and Consent

By creating an account or using the Services, you consent to receive electronic communications from us, including emails, push notifications, in app messages, and SMS messages (if you provide your phone number), relating to: (a) your account and the Services; (b) health alerts and recommendations for your registered pets; (c) Test Kit status updates and results; (d) subscription and billing notifications; (e) product updates and new feature announcements; (f) educational content and health tips; and (g) promotional offers (from which you may opt out at any time). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

22. Open Source Software

The Services may incorporate open source software components subject to open source licenses. A list of open source components and their applicable licenses is available upon request at legal@everfur.com. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.

23. Beta Features and Early Access

From time to time, we may offer beta, preview, early access, or experimental features within the Services ("Beta Features"). Beta Features are provided "as is" and "as available" without any warranties of any kind. Beta Features may be unstable, contain bugs, produce less accurate AI Outputs, and may be modified or discontinued at any time without notice. Your use of Beta Features is at your sole risk, and we shall have no liability arising from your use of Beta Features. By using Beta Features, you agree to provide feedback and acknowledge that any data processed through Beta Features may be used to improve the Services.

24. Miscellaneous

24.1 Entire Agreement

These Terms, together with the Privacy Policy, Data Deletion Policy, Cookie Policy, EULA, and any applicable MSA, enterprise license agreement, or order form, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements, understandings, negotiations, and communications, whether written or oral, relating to the subject matter hereof.

24.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent to the maximum extent possible.

24.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if in writing and signed by an authorized representative of the Company. No waiver shall constitute a continuing waiver or a waiver of any other provision.

24.4 Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder, in whole or in part, without our prior written consent, whether by operation of law, merger, reorganization, or otherwise. Any attempted assignment without such consent shall be null and void. We may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

24.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms resulting from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, quarantine restrictions, war, terrorism, riots, civil unrest, embargoes, acts of civil or military authorities, fire, floods, earthquakes, hurricanes, tornadoes, accidents, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, power outages, telecommunications failures, internet disruptions, cyberattacks, government actions or orders, and laboratory closures or supply chain disruptions affecting Test Kit processing.

24.6 Independent Contractors

The relationship between you and the Company is that of independent parties. Nothing in these Terms creates or is intended to create a partnership, joint venture, franchise, agency, employer employee, or fiduciary relationship between you and the Company.

24.7 Third Party Beneficiaries

These Terms do not confer any third party beneficiary rights. Our licensors, content providers, laboratory partners, and other service providers may enforce the provisions of these Terms that protect their respective rights and interests.

24.8 Notices

All billing inquiries should be directed to billing@everfur.com. All privacy inquiries should be directed to privacy@everfur.com. We may provide notices to you by: (a) email to the address associated with your account; (b) push notification through the mobile application; (c) in app notification; or (d) posting a notice on our website or within the Services. You are responsible for keeping your contact information current.

24.9 Headings

The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

24.10 Construction

These Terms shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted. The word "including" means "including without limitation."

24.11 Survival

Sections 4.2 (Restrictions), 5 (Intellectual Property Rights), 8 (Data Collection, Processing, and Biological Samples), 9 (AI and Machine Learning Specific Terms), 13 (Indemnification), 14 (Limitation of Liability), 15 (Disclaimer of Warranties), 16 (Dispute Resolution and Arbitration), and 17 (Veterinary and Diagnostic Disclaimers) shall survive any termination or expiration of these Terms.

24.12 Language

These Terms are written in English. If these Terms are translated into any other language and there is a discrepancy between the English version and the translated version, the English version shall prevail.
